YOLO IBL Banca reaches significant 5 threshold after increase

(Finance) – YOLO Groupone of the main operators in the Italian insurtech market of digital insurance services, listed on Euronext Growth Milan, received on 2 May 2024 from IBL Labor Banking Institute (IBL Banca), communication of the achievement of the relevance threshold of 5% of the capital social.

In particular, the substantial change in the shareholding occurred on 24 April 2024 following IBL Banca’s participation in the capital increase operation announced by the Company on 3 April 2024 and still being completed; the substantial change also coincides with IBL Banca’s entry into the Company’s capital.

As of today, IBL Banca holds n. 659,410 ordinary shares, equal to 5.5637% of YOLO’s share capital.

The capital increase operation, it is specified in a note, is still in progress and the unexercised rights which give the right to the subscription of maximum no. 1,348,759 New Shares will be offered on the Stock Exchange by YOLO, through MIT SIM, in the sessions of 6 and 7 May 2024, subject to early closure of the offer in the event of full sale of the Unexercised Rights.

As part of the Stock Exchange Offer, the Unexercised Rights will be offered on the Euronext Growth Milan market, organized and managed by Borsa Italiana SpA, with ISIN code IT0005591091.
The Unexercised Rights attribute the right to subscribe to the New Shares at the unit price of Euro 1.797, of which Euro 0.01 to be attributed to capital and Euro 1.787 to be attributed to premium, in the ratio of 47 New Shares for every 100 Unexercised Rights purchased.
