(Finance) – WIIT announces that it has been stipulated the deed of merger by incorporation of Adelante, Matika and Etaeria in WIIT. The merger, subject to the registration of the deed at the competent offices of the Register of Companies, will have civil effect from 1 August 2022, while the accounting and tax effects will start from 1 January 2022.
Since the share capital of the Merged Companies is entirely held by Wiit and the simplified merger procedure provided for by the Italian Civil Code is applied, on the effective date of the merger the shares / quotas of the Merged Companies will be canceled without exchange, therefore it is not necessary to determine any method of assignment. of WIIT shares.
