Mondo TV announces CLG Capital bond conversion

(Finance) – World TV received a request from CLG Capital to conversion of one of the 12 bonds issued on December 19, 2023, for a total nominal value of 125,000 euros.
The issue took place within the scope of the investment agreement approved by the Company’s shareholders’ meeting as per the press release of 11 December 2023, with which CLG Capital committed to underwriting, directly or through a person possibly designated to the pursuant to the Contract, in several tranches and only following specific subscription requests formulated by the Company 60 bonds
convertible into shares worth 125,000 euros each.

Having been 12 Bonds issued to date, there are still 48 Bonds to be issued. Of the 12 Bonds issued, there are currently 5 Bonds relating to the first tranche still to be converted.

The number of shares subject of the conversion was determined in accordance with the contractual provisions based on 92% of the weighted average price of prices by volume of qualifying trades tracked by Bloomberg during three trading days selected by CLG Capital within a period of 15 consecutive trading days prior to receipt of the Request. The price thus determined was found to be equal to Euro 0.19559 per share: therefore the Bonds subject to conversion give the right to subscribe for 639,085 shares Mondo TV ordinary shares equal to approximately 1% of the share capital currently in circulation.
