(Finance) – Barbieri & Tarozzi Holding issued the provisional results of the total voluntary takeover bid (takeover bid) promoted on SITES, manufacturer of complete systems serving the world ceramic industry listed on Euronext Growth Milan. The tender offer for the holding, which already owned 74.68% of the capital, began on February 7 and ended today, February 25. Based on the provisional results communicated by Equity (as an intermediary in charge), they result brought into membership 2,295,097 shares, representing approximately 18.31% of the share capital.
Taking into account that at the date of the offer document Barbieri & Tarozzi Holding held 9,359,100 shares, representing 74.68% of the share capital, while the persons acting in concert held 1,800 shares, representing 0.014% of the share capital, the holding holds 11,655,997 shares, equal to 93.01% of the capital.
There threshold condition of the takeover bid (exceeding an overall stake of more than 90%) is therefore come true. The subscription period will now be reopened for 5 trading days: for the sessions of March 7, 2022, March 8, 2022, March 9, 2022, March 10, 2022 and March 11, 2022.
