International Care Company Intesa Sanpaolo Vita enters the capital with

(Tiper Stock Exchange) – International Care Companya leading Italian company in assistance services and listed on Euronext Growth Milan, announced that it was entered into an agreement between the controlling shareholder (FD Holding) and its direct and indirect controlling shareholders with Intesa Sanpaolo Vita, aimed at the entry of the same within the share capital.

The transaction, aimed at accelerating the growth process of International Care Company, provides for: a share capital increase with the exclusion of the option right, reserved for Intesa Sanpaolo Vita for an amount including the premium equal to a maximum of 500,507.7 euro, through the issue of 238,337 new shares at a price of 2.10 euro per share, of which 1.14 to share capital and 0.96 as share premium; a share trading of International Care Company between FD Holding and Intesa Sanpaolo Vita, pursuant to which FD Holding will sell the latter 238,338 shares at the same price of 2.10 euro per share.

This will lead the insurance company to acquire 476,675 ordinary shares of International Care Company, corresponding to approximately 10% of post money share capital.
