Zucchi announces failure to meet dividend payment conditions

(Telestock) – Zucchi announces that “the conditions for the distribution of the Dividend pursuant to the Facility Agreement (signed with Illimity Bank, Ed.) have not fully occurred by the verification date and, therefore, the distribution resolution must be considered ineffective”. The company announced this, specifying that “on the other hand, the financial covenants provided for by the Facility Agreement have not been violated”.

The dividend in question had been approved by the Assembly held on 28 June 2024which had given the green light to a coupon of 0.1184 euros for each of the ordinary shares in circulation, and therefore for a total of approximately 3 million euros. The distribution of the dividend in question – recalls Zucchi’s note – was subject to the occurrence, by 23 August 2024, of the conditions for the distribution of dividends provided for by facility agreement signed on 17 December 2021 between the company and Illimity Bank.

The Dividend was due to be paid starting from August 28, 2024 (with coupon no. 6 ex-dividend date on August 26, 2024 and record date on August 27, 2024).

The title Zucchi this morning shows a negative percentage variation of 1.43% on the stock market.
