(Finance) – Yolo GroupItalian Insurtech operator listed on Euronext Growth Milan, has The purchase of a majority participation (51%) in the capital of Rcpulation.it perfecteddigital broker specialized in the offer of insurance products for SMEs. The Signing took place on 23 December 2024. The operation is in the process of strengthening the offer and distribution capacity in the segment with high development potential and marginality of the SMEs provided for by the strategic plan 2025-2027.
Rcpalizza.it has about 30 thousand active customers, a portfolio prizes of approximately 9 million euros and closed 2024 with revenues to 1.7 million euros, a Ebitda margin of about 11% and one Pfn positive (cash) for 0.6 million euros.
As a result of the two diligence activity, the consideration for the acquisition of 51% of Rcpalizza.it was determined in (i) a fixed pricenot subject to adjustment and to be paid to the date of closing equal to a total 350,000 euros; (ii) a variable amountby way of earn-out up to maximum 350,000 eurossubject to achieving specific objectives, which, where accrued, will be paid in two tranches following the approval of the financial statements which will be closed at 31 December 2026 and 31 December 2027.
It is a downward revision of the consideration Compared to what is hypothesized in December (1.25 million euros), also because the Ebitda Margin of 11% of Rcpalizza.it is much less than 20% estimated at the signing of the contract. Compared to the initial indications, the reference to 50% payment is no longer indicated by cash and 50% in shares, making a cash payment presumed.
Confirmed i Option rights for the acquisition of the residue 49%exercisable according to the economic results and performances of Rcpalizza.it during the year which will close at 31 December 2027, on the basis of the results of RCpOLizza.it of the year 2026, and at 31 December 2029, on the basis of the results of RCpOLizza.it of the year 2028.
