(Finance) – The Assembly of WIITmeeting today, approved all the items on the agenda, and the Board of Directors, meeting following the aforementioned Assembly, resolved on the conferment of powers and delegations and the appointment of the members of the internal board committees .
The Assembly approved the financial statements as of 31 December 2023, which presents a profit for the year of 6,363,140 euros, and the allocation of the entire result for the year as a dividend, equal to 0.30 euros gross for each share in circulation, with an ex-date of May 20, 2024 (ex date) and record date of May 21, 2024.
The Assembly appointed the Board of Directors for the three-year period 2024-2026 and established the number of members at 9. The following were elected as members of the Board of Directors: Enrico Giacomelli, as President of the Board of Directors; Alessandro Cozzi; Francesco Baroncelli; Enrico Rampin; Chiara Grossi; Annamaria Di Ruscio; Emanuela Teresa Basso Petrino; Nathalie Brazzelli; Santino Saguto. The directors Enrico Giacomelli, Annamaria Di Ruscio, Emanuela Teresa Basso Petrino, Nathalie Brazzelli and Santino Saguto have certified that they meet the independence requirements
All the directors, with the exception of the director Santino Saguto, were taken from the list presented by the shareholder WIIT Fin, owner of 15,470,292 ordinary shares of the Company, equal to approximately 55.21% of the share capital, which received votes favorable equal to 70.1% of the total voting rights and 89.3% of the total voting rights present, while the director Santino Saguto was taken from the list presented by shareholder funds, holders, overall, of 1,131 977 ordinary shares of the Company, equal to approximately 4.04% of the share capital of WIIT (Shareholder Funds), which received favorable votes equal to 8.4% of the total voting rights and 10.7% of the total of the voting rights present.
The Assembly appointed the Board of Auditors for the three-year period 2024-2026. The following were elected as members of the Board of Auditors: Vieri Chimenti, as standing auditor and president of the Board of Auditors; Paolo Ripamonti; as effective auditor; Chiara Olliveri Siccardi, as standing mayor; Igor Parisi, as alternate mayor; Cristina Chiantia, as alternate mayor.
The mayors Paolo Ripamonti, Chiara Olliveri Siccardi and Igor Parisi were taken from the list presented by WIIT Fin, which received favorable votes equal to 70.1% of the total voting rights and 89.3% of the total votes voting rights present, while the mayors Vieri Chimenti and Cristina Chiantia were taken from the list presented by the Shareholder Funds, which received favorable votes equal to 8.4% of the total voting rights and 10.7% of the total voting rights present.
The Assembly approved a long-term monetary incentive plan called “Monetary Incentive Plan 2024-2026”, in the part in which it is also based on the performance of the WIIT stock (the “LTI Plan”).
A proposal to authorize the purchase and disposal of treasury shares was also approved, to be carried out in compliance with applicable community and national legislation.
