Vianini Caltagirone exceeds 90 Towards delisting

(Finance) – Francesco Gaetano Caltagirone has exceeded the 90% threshold of the capital of Vianini, a company of the Caltagirone group listed on Euronext Milan and active in the construction sector. On 8 and 9 May 2024 Capitolium Srl, a company indirectly controlled by Francesco Gaetano Caltagirone, purchased a total of 189,000 ordinary shares, representing 0.179% of the capital. The highest price paid in the context of these purchases was 0.86 euros per share.

Capitolium does not intend to proceed with the restoration of a float sufficient to ensure the regular trading of ordinary shares. For this reason, Capitolium has the obligation to purchase all remaining ordinary shares in circulation from the remaining shareholders who request it. To date, the remaining shares are equal to 10,498,368, corresponding to approximately 9.96% of the capital. At today’s closing (0.85 euros per share), the capitalization is 89.5 million euros.

Fulfillment of the purchase obligation will result in the revocation of the listing of ordinary shares from Euronext Milan, or the delisting from the Italian Stock Exchange. It is Capitolium’s intention to exercise the right to purchase (squeeze-out) following the fulfillment of the purchase obligation, if the relevant conditions are met.
