Unidata acquires TWT group and updates Business Plan

Intred Infratel tender award confirmed for Lombardy school connectivity

(Tiper Stock Exchange) – Unidatatelecommunications, Cloud and IoT services operator listed on Euronext Growth Milan, has signed a binding agreement for the purchase of the entire share capital of the TWT Group, primary player in the field of telecommunications and connection and communication services, with a particular focus on the B2B segment. TWT’s revenues at December 31, 2021 amounted to approximately 58.7 million euros, with net cash of approximately 13.9 million euros. For 2022, revenues are expected to be in line with the previous year and an EBITDA of approximately 6.9 million euros.

The sales contract provides for the purchase of the TWT Group on the basis of a Enterprise Value of 58 million euros. The completion of the acquisition is expected by mid-February 2023. The acquisition will be financed through recourse to the existing liquid assets and through the use of bank loans (Unidata received a highly confident letter from a pool of lending banks).

Unidata’s BoD examined i forecast data as at 31 December 2022, which see expected revenues of around 51.8 million euros with significant growth of around 40% compared to 2021 and an expected EBITDA Margin of around 29%. Furthermore, the board approved the revision of the 2022-2024 Business Plan with the extension to 2023-2025.

There industrial strategy envisages: organic growth with development and consolidation of the current positioning in all BUs; growth through M&A and partnerships; reinvestment of most of the profits in the company; great attention to sustainability according to ESG principles.

THE consolidated targets for 2025, which take into account the acquisition of TWT, forecast: total revenues between 128 and 134 million euros; EBITDA between 34 and 36 million euros; EBITDA Margin between 26% and 27%.
