(Finance) – The assembly of the shareholders of Tiscalia telecommunications company listed on Euronext Milan, has approved the budget financial year as at 31 December 2021, approved the report on the policy on remuneration and on the remuneration paid, and appointed the new board of directors. The shareholders, after having determined the number of board members at 7, appointed Renato Soru, Davide Rota, Cristiana Procopio, Alberto Trondoli, Maurizia Squinzi (independent), Sara Testino (independent), Serena Maria Torielli (independent) .
The BoD was appointed on the basis ofsingle list presented jointly by Amsicora Srl – shareholder of Tiscali with a total stake of 8.45% of the share capital – also on behalf of Linkem and Renato Soru, a list that obtained 100% of the votes of those present at the meeting. The directors will remain in office until the approval of the financial statements for the year ending on 31 December 2024. The new BoD then proceeded to appoint the presidentin the person of Renato Soruand the appointment of Davide Rota as CEO.
The assembly also approved the issue of a convertible bond loan and converting reserved to Nice & Green SA for an amount equal to 90 million euros to be issued in several tranches, and consequent capital increase against payment and in divisible way, in one or more times, with the exclusion of the option right, reserved for Nice & Green SA , at the service of the conversion of the aforementioned loan.
