(Finance) – Technoprobea company listed on Euronext Milan and active in the design and production of Probe Cards used for semiconductor testing, announced that the controlling shareholder T-PLUS signed a binding agreement for the sale of shares Technoprobe, equal to 2.5% of the capital social, ad Advantesta Japanese company active in the design and production of automatic testing equipment (ATE).
The transfer will take place via atransaction settled off-market. Following the sale of 2.5% of Technoprobe shares, T-PLUS will hold a 57.96% stake in the company’s share capital and 70.47% of the voting rights.
Furthermore, it was announced that Technoprobe has signed some agreements with Advantest in recent days for the establishment of a commercial and strategic partnership for the development and supply of PCBs (Printed Circuit Boards).
“Last year we started expand our skills in the Device Interface Boards segment and today we confirm the relevance of this strategic pillar – said theCEO Stefano Felici – The leadership position acquired by Technoprobe in the testing of high-end non-memory chips, also in the Artificial Intelligence segment, has allowed us to strengthen the commercial relationship with Advantest, leader in ATE platforms in the same market segment. As a result of the agreement with Advantest and in order to optimize the Group’s cost structure, Harbor Electronics’ manufacturing activities in the United States will cease by the end of the first quarter of 2025.”
The agreements provide that the companies of the Technoprobe Group will make use of the companies of the Advantest Group such as priority suppliers for the purchase of PCB probe cards and PCB test boards and other PCB solutions that may be jointly defined between the parties. The initial duration of the agreement is three years with subsequent automatic annual renewals.
At the same time, Technoprobe confirms the cessation of production activities of PCBs at the production plant of Santa Clara (CA) operated by its American subsidiary Harbor Electronics, while maintaining the know-how acquired in relation to specific assembly processes of components of its probe cards at the Fremont (CA) plant.
