(Tiper Stock Exchange) – The Ordinary Shareholders’ Meeting of snam met today under the chairmanship of Monica de Virgiliis in the presence, through the designated representative Trevisan & Associati Law Firm, of shares representing 75.56% of the share capital.
The Assembly has approved the financial statements of Snam SpA as at 31 December 2022 and resolved to distribute a dividend of €0.1651 to the shareholders for action the shares outstanding on the ex-coupon date (June 19, 2023), will be paid starting June 21, 2023, with a “record date” of June 20, 2023. The dividend is the settlement of the advance approved by the Board of Directors of 9 November 2022 and brings the total dividend for the entire year to 0.2751 euro per share.
The Shareholders’ Meeting also resolved to revoke the part that remained unexecuted of the authorization to purchase treasury shares dated 27 April 2022 and authorize the purchase of treasury sharesto be carried out on one or more occasions for a maximum duration of 18 months from today’s date, with a maximum disbursement of 500 million euros and up to the maximum limit of shares in portfolio equal to 4.5% of the subscribed and paid-up share capital. The shareholders have also authorized the execution of deeds of disposal on all or part of the treasury shares purchased, in one or more tranches, without time limits.
The Assembly then approved the 2023-2025 long-term stock incentive planaccording to the conditions described in the Information Document attached to the explanatory report of the Board of Directors, granting the Board of Directors and the Chief Executive Officer all powers necessary to fully and fully implement the Plan.
Has been approvedwith binding resolution, the first section of the “Report on remuneration policy and fees paid 2023” of Snam, which illustrates the Company’s policy on remuneration of the members of the Board of Directors, of the Chief Executive Officer and General Manager, of the Executives with strategic responsibilities and of the members of the Board of Statutory Auditors with reference to the 2023 financial year. Upvote also in the second section of the Report,
which indicates i fees paid to members of the Board of Directors, to the Chief Executive Officer and General Manager, to Executives with strategic responsibilities (for the latter in aggregate form) and to members of the Board of Statutory Auditors, in or relating to the 2022 financial year.
