(Finance) – Wells Milana company active in the table fashion sector and owner of the Pozzi and Castello Pozzi brands, was admitted to trading of the ordinary shares and of the “Warrants Pozzi Milano 2022-2027” on Euronext Growth Milan (EGM), the Piazza Affari segment dedicated to SMEs with high growth potential. The trading start date is set for July 19, 2022. Behind the stock exchange listing and relaunching of the historic Milanese luxury brand are Diego Toscani (CEO of Promotic) and Rinaldo Denti (former CEO of Dmail e Frendy Energy and entrepreneur active for 30 years in various sectors).

Admission took place following a private placement mainly aimed at primary Italian and foreign institutional investors and professional investors, of a total of 4,000,000 newly issued ordinary shares deriving from a specific capital increase, to a offer price equal to 0.50 EUR per share, for one total value of 2 million of Euro including surcharge. The company registered a demand equal to 2.7x times the pre-established collection target.

As a result of the placement, the share capital of Pozzi Milano amounts to € 680,000 and is made up of 34,000,000 ordinary shares with no par value. The floating post placement is equal to 11.76% of the share capital admitted to trading. Based on the offer price, the capitalization total expected at the start of negotiations is 17 million euros. Diego Toscani owns 55.59% of the capital, while Rinaldo Denti has 6.18% directly and 7.94% with the company Cryn Finance SA – SPF. Five other shareholders have stakes ranging from 0.88% to 6.62%.

The placement of ordinary shares and warrants is aimed at consolidating and developing the growth, both internally and externally. In particular, organic growth will take place through the development of new product lines, the expansion of the customer portfolio, the brand building of the proprietary brands with the strengthening of the online presence and the organization of events at the Castello Pozzi – historic location of the Pozzi brand.
