(Tiper Stock Exchange) – Andrea Casaluciwho will be indicated to the position of Chief Executive Officer of Pirelliin coordination with the current Executive Deputy Chairman and Chief Executive Officer Marco Tronchetti Provera, has decided to propose to the Board of Directors, in the first meeting to be held after the shareholders’ meeting scheduled for 31 July 2023, the establishment reporting to the Corporate General Management, entrusting the responsibility to Francesco Tanzi, who is part of the Pirelli Group.
This proposal – explains a note – is also aimed at implementing one of the provisions of the DPCM of 16 June 2023 with which the Council of Ministers exercised the special powers pursuant to Legislative Decree 21/2012 (Golden Power).
The Board of Directorswill also be called upon to appoint Marco Tronchetti Provera as Executive Deputy Chairman, delegating to him the powers relating to general strategies, the supervision of the implementation of the business plan and the powers relating to communication, corporate affairs and internal controls, relations with shareholders and with the institutions.
Among other things, the Chief Executive Officer will have the power – in coordination with the Executive Deputy Chairman – to propose to the Board of Directors the business plan, the annual budget and any resolution concerning industrial partnerships or strategic joint ventures.
The Chief Executive Officer and the Corporate General Manager will be delegated the ordinary management of Pirelli and – under the supervision of the Executive Vice President – the power to implement the business plan and the budget.
The current Finance and Services, Sustainability and Future Mobility, Chief Legal Officer, Chief Digital Officer and Pirelli Hangar Bicocca functions will head up to the newly established Corporate General Management.
The Administration Planning and Controlling function and the Financial Reporting Manager as well as the Chief Human Resources Officer will report to the Chief Executive Officer.
