NB Aurora, sale of 49.9% of the equity investment portfolio completed

(Finance) – NB Auroraa permanent capital vehicle listed on the Euronext MIV Milan segment and focused on investments in unlisted SMEs, announced that the improvement of the operation sale of 49.9% of its shareholding portfolio to the closed-end investment fund called NB Aurora Co-Investment Fund II SCA SICAV RAIF, also managed by Neuberger Berman AIFM S.à rl, the management company of NB Aurora, and subscribed by third-party professional investors.

This operation – we read in a note – has “a strategic value for NB Aurora, since on the one hand it will allow the company to realize part of the value generated by the portfolio up to now by generating a capital gain which will be intended for the distribution of a dividend and, on the other, will allow collect new resources financial funds that will be used to continue to support the expansion projects of unlisted Italian SMEs that are leaders in their market niches and have high growth potential”.

In detail, the operation involved the transfer of the direct participation equal to 49.9% in NB Aurora Holdings S.à.rl and of the direct participation equal to approximately 4.8% of the shares issued by the MIC Co-Invest SCSp fund.

The sale of the aforementioned minority share of the portfolio took place to a price equal to approximately 144.2 million eurosdetermined on the basis of the net asset value (NAV) of the Portfolio as of 31 March 2023, integrated with the purchase cost relating to the investment in Finlogic and the two latest capital increases in Blu Club (the vehicle that holds the stake in BluVet), transactions completed after that date and not included in the aforementioned reference NAV.
