(Finance) – Monte dei Paschi di Siena Bank (BMPS) informs that today the offer on Euronext Milan was concluded, held on 1 and 2 November 2022 (the “Inoptato Auction”) of the option rights not exercised during the option offer period (the “Inopted Rights”).
In this context, no. 449,097 Inopted Rights which give the right to subscribe for a total of no. 55,987,426 newly issued BMPS ordinary shares (the “New Shares”), for an amount of Euro 111,974,852.00, as part of the Capital Increase
approved by the Extraordinary Shareholders’ Meeting of BMPS held 15 September 2022.
The Unsigned Rights may be exercised for the subscription of the New Shares, at the price of Euro 2 per New Share, on the basis of a ratio of 374 (three hundred and seventy-four) New Shares for every 3 (three) Unscheduled Rights held.
The exercise of the Inoptate Rights purchased as part of the Inoptate Auction and, consequently, the subscription of the New Shares must be carried out through the authorized intermediaries participating in the centralized management system of Monte Titoli SpA, under penalty of forfeiture, by and no later than 14:00 tomorrow, November 3, 2022.
