(Finance) – Mondadoria publishing group listed on Euronext STAR Milan, has finalizedthrough the subsidiary Mondadori Libri, the acquisition by De Agostini Publisher of a shareholding equal to 50% of De Agostini Libri, formerly DeA Planeta Libri, a company active in the trade books sector with a focus on the children’s and non-fiction segments. The operation was announced to the market on November 22, 2021.
The scope of the transaction includes Libromania, a company wholly owned by De Agostini Libri active in the segment of publishing promotion for third-party publishers: the agreements provide for put & call options, exercisable in the second half of 2022, which give Mondadori the right to acquire 100% of the same Libromania. The maximum total value of the acquisition, taking into account the enhancement of 100% of Libromania, is defined in 4.5 million euros.
The operation, “giving life to a partnership with a publishing house with a great history, tradition and know-how, is consistent with the strategy, communicated several times, of increasing focus on the core business of books, also pursued through an integration process vertical in the book market “, reads a note from Mondadori. In 2021 DeAgostini Libri recorded, at a consolidated level, revenues of 13.9 million euros and EBITDA of 0.2 million euros.
