(Finance) – Il Mondadori Groupthrough the subsidiary Mondadori Libri, finalized today the acquisition of a further 25% stake in ALI – Agenzia Libraria International, a company active in the distribution of books.
As a result of this operation, Mondadori Libri brings it to 100%. own participation overall in the company from the 75% already held.
The increase in the quota in ALI takes place through the exercise of the call option provided for by contractsigned and communicated on 11 May 2022, at the acquisition of an initial 50% of the capitalwhich provided for the right for Mondadori Libri to acquire the remaining 50%, thanks to a deferred purchase commitment and a put agreement & calleach having as its object 25% of the capital of ALI, the first of which was executed and was the subject of related disclosure in January 2023.
The provisional pricepaid today by cashis equal to 12.2 million euros and was determined on the basis of the average EBITDA 2023-2024 as well as the positive net financial position (cash) of the perimeter subject to the operation, equal, as of 31 December 2024, to 27
million euros. This provisional price may be subject to adjustment following the approval of the financial statements for the financial year ending 31 December 2024.
