Intesa Sanpaolo, shareholders’ meeting renews BoD: Gros-Pietro and Messina confirmed

(Finance) – The shareholders’ meeting of Intesa Sanpaolo with 10,540,605,474 votes in favor, equal to 96.85511% of the ordinary shares represented, confirmed Gian Maria Gros-Pietro as chairman, Carlo Messina as CEO and Paolo Andrea Colombo as vice chairman.

Determined in 19 the number of board membersof which 14 declared that they possess the requisites of independence.

For the list 1 majority, presented by Compagnia di San Paolo, Cariplo Foundation, Cassa di Risparmio di Padova and Rovigo Foundation, Cassa di Risparmio di Firenze Foundation and Cassa di Risparmio di Bologna Foundation, 14 directors were elected: Gian Maria Gros-Pietro, Paolo Andrea Colombo, Carlo Messina, Franco Ceruti, Paola Tagliavini, Liana Logiurato, Luciano Nebbia, Bruno Picca, Livia Pomodoro, Maria Alessandra Stefanelli, Bruno Maria Paris, Fabrizio Mosca, Milena Teresa Motta, Maria Cristina Zoppo.

For the list 2 5 members were elected as minorities of the asset management companies: Daniele Zamboni, Maria Mazzarella, Anna Gatti, Alberto Maria Pisani, Roberto Franchini. In detail, List 1 obtained favorable votes equal to 76.51463% of the ordinary shares represented at the meeting, List 2 at 22.76285%.

The shareholders’ meeting also approved the Parent Company’s 2021 financial statements and the allocation of the profit for the year and distribution of the dividend to shareholders.
