(Finance) – The Board of Directors of Innovateca company listed on Euronext Growth Milan and active in the sectors of energy efficiency and environmental sustainability, has resolved the issue and free assignment to shareholders of the company of maximum n. 3,013,933 denominated warrants “Innovatec Warrants 2023-2026”, which give the right to subscribe n. 1 Innovatec share for every n. 1 Warrant held as required by the regulation.
Consequently, it decided to increase the share capital for a fee and in a divisible manner for a maximum of 7,836,225.80 euros, including the premium, through the issue within the deadline for exercising the Warrants, even in several tranches, of a maximum number of 3,013,933 ordinary shares of the Company, without indication of the value nominal, with regular enjoyment, to be reserved exclusively for the exercise of the Warrants.
The assignment of the Warrants in favor of the shareholders has the aim of encouraging the company’s new growth strategy and the active participation of shareholders in the development plan, we read in a note. The Board of Directors has also envisaged the issuance of Warrants with the aim of providing shareholders with a financial instrument which can find a market value and can be liquidated at the EGM, also allowing a greater capitalization of the company.
