(Finance) – Innovatecthrough the subholding Haiki + active in the environment and circular economy sector, acquired 70% of Puliecol Recuperiowner of a complex of plants located in San Severino Marche and active in the collection, recovery and treatment of waste from electrical and electronic equipment “WEEE”.
The acquisition took place at a consideration of 2.8 million eurosof which 2 millions paid today to the seller Leonardo Compagnucci, who remains a Puliecol shareholder with a 30% stake. The residue consideration will be paid in two tranches: the
first of 0.4 million by 31 December 2022 and the second of the same amount by 30 June 2023. The sales contract also provides for the right to purchase the remaining 30% (call option) within three months of the expiry of the three-year term from the payment date of the last tranche (and therefore indicatively within the maximum term of 30 September 2026).
A result bonus of 0.4 million euros in the event of exercise by Haiki of the Call and only in the event that the EBITDA achieved by Puliecol in 2024 and 2025 is not lower than the plan objectives.
