(Finance) – The board of directors of General approved the composition of the own list of candidates to be presented to the shareholders’ meeting for renewal of the board for the mandate expiring with the approval of the financial statements at 31 December 2024. As expected, the independent Andrea Sironi (co-opted on 28 February 2022) is indicated as chairman, while the outgoing CEO Philippe Donnet is re-proposed as CEO. The list of candidates will position the Trieste insurance company “above the European average in terms of independence and gender equality and it will lower the average age of the board placing it below the European average “, explains a note. Furthermore, the majority of candidates boast experiences in the ESG field and business model strategy. The board will propose to confirm the current composition of 13 directors.

In addition to Sironi and Donnet, the list includes: Diva Moriani (independent, director since April 28, 2016), Luisa Torchia (independent, co-opted on February 28, 2022), Alessia Falsarone (independent, co-opted on February 28, 2022), Lorenzo Pellicioli (not independent, director since April 28, 2007), Clara Furse (independent, new candidate), Umberto Malesci (independent, new candidate), Antonella Mei-Pochtler (independent, director since 7 May 2019), Marco Giorgino (independent, new candidate), Sabine Azancot (independent, new candidate), Monica De Virgiliis (independent, new candidate).
The BoD underlines that the list: fosters knowledge of the insurance-financial market, the ability to understand and evaluate the business model and medium-long term strategic scenarios; further strengthens the international profile (including experience in different geographies); enhances diversity profiles; further expands the skills in the fields of governance and sustainability, and in those of Digital and Information Technology from an international perspective; guarantees the presence of a clearly majority component of independent directors; was prepared well in advance with respect to the statutory terms.
