(Finance) – The board of directors of General has appointedby majority and by co-option, Stefano Marsaglia in the role of director in place of the resigning Francesco Gaetano Caltagirone. The long process to replace the Roman entrepreneur is therefore closed, after the latter had resigned as a surprise on May 27, about a month after the defeat in the assembly. However, the choice was not easy, as the note from the Lion of Trieste also explains.
The Board of Directors, following the proposal of the Nomination and Corporate Governance Committee adopted unanimously, examined the candidates included in the list presented to the shareholders’ meeting of last 29 April by the shareholder VM 2006 Srl (Caltagirone company), not nominated in such an opportunity. Therefore, it took note of theunavailability of Claudio Costamagnaheld, by majority and with the dissent of the directors Marina Brogi and Flavio Cattaneo, without the requisites for the appointment Luciano Cirinà and put to the vote the candidacies of Alberto Cribiore, Maria Varsellona, Paola Schwizer and Andrea Scrosati, for each of which the favorable vote of the majority of the board was recorded.
However, having conditioned their acceptance to a unanimous vote, the appointment (as previously happened with the candidate Roberta Neri) was not finalized: the board proceeded in this way, always by majority and with the dissent of the directors Brogi and Cattaneo, upon the appointment of Stefano Marsaglia. The appointment was approved by the Board of Statutory Auditors.
Stefano Marsaglia, 67, has been appointed director independent. Born in Turin, he boasts a long experience in investment banking with roles of primary responsibility in Rothschild, Barclays And Mediobanca. He is currently CEO of Azzurra Capital, a private equity company and a member of the Advisory Board of Afiniti, a multinational active in the field of AI.
