(Tiper Stock Exchange) – Is in the and its listed subsidiary Enel Chile have signed today a share purchase agreement with Sonnedix Chile Arcadia and Sonnedix Chile Arcadia Generación, companies both controlled by the international renewable energy producer Sonnedix, which envisages the sale of the entire stakes held by Enel (about 0.009%) and Enel Chile (about 99.991%) in the share capital of Arcadia Generación Solar, a Chilean company that owns a of four photovoltaic plants. The plants are located in the Atacama and Antofagasta regions in the northern part of Chile and have approximately 416 MW of installed capacity in total. The finalization of the sale is subject to certain conditions precedent that are usual for this type of transaction, including clearance by the Chilean antitrust authority Fiscalía Nacional Económica (FNE).
The agreement envisages that the buyers pay, for the totality of the shareholdings, a total consideration, subject to adjustments usual for this type of transaction, of 550 million US dollars, equal to approximately 504 million euros1, corresponding to 100% of the enterprise value agreed by the Parties. As a result, the transaction is expected to generate a positive impact on the Enel Group’s net debt of approximately 504 million euros and on the Group’s reported net income for 2023 of approximately 20 million euros. On the other hand, the transaction does not have any impact on the Group’s ordinary economic results.
The photovoltaic plants that make up the portfolio are Diego de Almagro (36 MW, operational since 2014), Carrera Pinto (97 MW, operational since 2016), Pampa Solar Norte (79 MW, operational since 2016) and Domeyko (204 MW, operational 2022), which together generate around 1 TWh per year of net generation.
The operation, envisaged in the current strategic plan of the Enel Group, contributes to theobjective of constantly improving and optimizing the risk-return profile of the Group and its asset base.
