Comtel also signed a parasocial pact with the Novanext minority members, which includes a right of option for the purchase of the company’s residual share capital, equal to 40% of the same (detained for 20% by Roberto De Giovanni and for 20% by Giovanni De Giovanni), which can be exercised between 1 January 2027 and 31 March 2027, for a consideration to be determined pursuant to a specific formula agreed between the parties.

As already referred to the press, we read in the note, theThe objective of multiplying to six turnover in two yearsnot included in the industrial plan, represents an entrepreneurial and managerial ambition that is based on the experience of management in the M&A sector and on current conditions and market opportunities. For this reason Comel will continue in the analysis of strategic operations aimed at supporting the growth path. Today’s operation brings the value of pro-form production to 80.4 million euros, with a substantial doubling compared to the 2023 value referring to Comel only, equal to 42 million.

Through this operation, the company will be able to seize numerous opportunities, growing on the national market (especially in the northwest area), expanding its business by intercepting new market bands.

The meeting of Novanext members also appointed the new board of directors that is composed of Fabio Maria Lazzerini (President), Mattia Conti and Renato Dedonatis appointed by Comel, as well as by Giovanni De Giovanni and Roberto De Giovanni.
