Carige, shareholders’ meeting on 15 June for the transfer of governance to Bper

(Finance) – The Board of Directors of Banca Carige acknowledged the communication received from the controlling shareholder, Fondo Interbank di Tutela dei Depositi (“FITD”), with which the FITD expressed the “reasonable expectation” that the execution of the contract for the sale of the controlling interest in the capital of the company to BPER Banca “can take place in the first ten days of the month
of June 2022 “.

Consequently – reads the note from Carige – the FITD requested the calling of the ordinary Shareholders’ Meeting of the Company for the next June 15, 2022 on the assumption that, consistently with the provisions of the aforementioned contract, the directors of the Company have in the meantime resigned from office.

“In confirming, unanimously, the intention to resign near the closing of the transaction with BPER Bank his resignation, with consequent forfeiture of the entire body pursuant to art. 18, paragraph 12, of the Company’s current by-laws and with effect from the date of the ordinary Shareholders ‘Meeting to be called for the appointment of the new body, the Board of Directors has resolved to call the Shareholders’ Meeting on June 15, 2022 “.

The Carige Board of Directors also resolved to submit to the ordinary shareholders’ meeting the proposed “settlement waiver of liability actions against the former directors Cesare Castelbarco Albani and Piero Luigi Montani. The meeting is therefore convened, in ordinary session, in single call for 15 June, with the following agenda: Appointment of the board of directors, after determining the number and determination of the remuneration of its members; Settlement waiver of liability actions against former directors Cesare Castelbarco Albani and Piero Luigi Montani.
