Banca MPS, five new directors co-opted

(Finance) – The Board of Directors Of Banca Monte dei Paschi di Sienawhich met today under the chairmanship of Nicola Maione, proceeded, with a unanimous vote and with the positive opinion of the Board of Statutory Auditors, to appointment by co-optation of five new directors: Alessandro Caltagirone (not independent), Elena De Simone (not independent), Marcella Panucci (independent), Francesca Renzulli (independent) e Barbara Tadolini (independent).

This appointment took place following the resignations handed in by five independent directorsindicated in the list of the Ministry of Economy and Finance presented on 27 March 2023.

The new Councilors will remain in office until the next Assembly of the Members.

In consideration of the changes that occurred in the shareholding structure of the Bank, as a result of the progressive reduction of the stake held by the MEFthe selection of the names of the new Directors by the Appointments Committee took place following a specific process of discussion with some of the new members of the Bank and with the support of the Executive Search company Spencer Stuart. The Appointments Committee recognized the opportunity to have this discussion carried out by the President of the Board of Directors, in line with the policy of dialogue with shareholdersin the interests of the Bank and through a process that can be supported by the shareholders at the next Meeting called to express its opinion on the confirmation of the Directors co-opted today.

The Bank will proceed within the legal deadlines verification of the requirements of the co-opted Councillors, in compliance with current legislation.

The Related Parties Committee was integrated with the inclusion of Councillors Paola De Martini (President) e Renato Sala who join Councilor Alessandra Barzaghi.
