(Finance) – The Extraordinary Shareholders’ Meeting of ITA Airways ha the capital increase of 325 million euros was approved to offer to Deutsche Lufthansawhich must be signed by the same by 15 January 2025. This transition will allow the German company to enter ITA Airways with a participation of 41% of the capital.
The Assembly also has the new Articles of Association approvedwhich provides for a series of prerogatives and rights typical in extraordinary operations of this type intended for the two shareholders, the Ministry of Economy and Finance and Lufthansa, in relation to the joint management of ITA Airways.
The new Articles of Association will become effective upon the signing of the capital increase by Lufthansa, following which a meeting of the ordinary shareholders’ meeting of ITA Airways will take place, during which the two shareholders will proceed to the appointment of the new Board of Directors of the Company, giving effect to the agreements stipulated in June 2023 and the new governance of the Company.
“The conclusion of these formalities will mark thebeginning of a new era for national air transport and continental, which will see ITA Airways integrate into the largest European civil air transport group”, is underlined in a note.
