Towers RAI F2i and MFE sign MoU for possible aggregation

(Finance) – RAI, F2i and MFE – MediaForEurope they signed a Non-binding Memorandum of Understanding to boot “of some preliminary insights” relating to an operation aggregation between RAI Way and EI Towers in compliance with the Prime Ministerial Decree of 22 May 2024, amending the Prime Ministerial Decree of 17 February 2022 (maintenance of RAI share and Rai Way share in the event of extraordinary operations).

The MoU – underlines a note – provides for a period of exclusivity until September 30, 2025 and specifies i cornerstones of the Potential Operation (among which, the maintenance of the price of the combined entity as well as the implementation of the Potential Transaction in ways that allow it to benefit from theexemption from the obligation to promote a takeover bidin accordance with the relevant legislation on the matter) and one road map for the definition of the terms of the Potential Operation within the expiration of the exclusivity.

The Potential Transaction remains subject to, among other things, the performance of due diligence activitiesto the negotiation and subscription of binding agreements and approval by the decision-making bodies of the parties involved, as well as obtaining the necessary regulatory authorisations.
