(Finance) – The majority of the directors of the Bank Monte dei Paschi di Sienain view of the meeting scheduled for April 20, considers overall appropriate the current number of 15 directors to ensure an adequate balance of skills and experience required and a correct composition of the committees. Furthermore, he considers the relationship currently in place between executive directors (1), non-executive directors (14) and independent directors (11) to be adequate, as it is suitable for ensuring effective functioning.
It also comes desired that, “to guarantee stability and continuity of action to the activities of the body, in this particular phase of the life of the bank, the confirmation of a part of the current components on the basis of the active contribution provided to the Board’s work over the course of the mandate”.
In the event that the composition of the BoD should undergo changes, it considers it useful a rebalancing the mix of experiences professionals within it to ensure skills more in line with the complexities of the bank. In particular, it would favorably consider a wider presence of profiles possessing stronger skills and experience: within the banking and financial sector; managerial and managerial; specific in the field of digital innovation and sustainability.
